Article 3 – Seller, Customer, Order and sales contract

3.1. The Site allows the remote purchase of the Products, with delivery by shipping or collection at the Seller's showroom.

3.2. The sales contract is concluded directly between the Customer and the Seller, who is directly and exclusively liable for the obligations undertaken towards the Customer.

3.3. These GTC apply exclusively to purchases made by Consumers. The indication of a VAT number solely for invoicing purposes does not exclude Consumer status, if the purchase is made for purposes unrelated to any professional activity carried out.

3.4. The contract consists of (i) the Order Confirmation; (ii) these GTC and their attachments; (iii) the Product data sheet published on the Site at the time the Order is submitted. In the event of conflict, the provision more favourable to the Consumer prevails.

3.5. The informational pages of the Site, including the FAQs and the pages dedicated to shipping, returns and delivery methods, are for informational purposes and summarise the content of the GTC. In the event of conflict, the GTC prevail, unless the informational page provides conditions more favourable to the Consumer.

3.6. The Products and prices published on the Site remain valid as long as they are visible on the Site and may be changed at any time without notice. Each Order is governed by the prices published on the Site at the time it is submitted; subsequent changes have no effect on Orders already submitted.

4.2. The purchase of Products is reserved for persons who have reached the age of eighteen and have the legal capacity to contract.

4.3. The Customer undertakes to provide truthful, complete and up-to-date data and is liable for any damage arising from the provision of incorrect or incomplete data, including with reference to the delivery address (see Article 15 below).

4.4. Login credentials are personal and confidential. The Customer is required to keep them with due care and to promptly notify the Seller of any unauthorised use.

4.5. The Customer may request the closure of their account at any time by writing to info@ciclidrigani.com. Closure does not affect Orders in progress.

Section II – Order and payment

Article 5 – Stages of the Order procedure on the Site

5.1. The presentation of the Products on the Site constitutes an invitation to make a proposal. The Order submitted by the Customer constitutes a purchase proposal.

5.2. The Customer selects the Product and, where applicable, the size, colour and other available variants, and adds it to the cart.

5.3. When purchasing a bicycle, the Customer may add the Assembly Service referred to in Article 11 below to the cart.

5.4. The Customer selects the delivery method, either shipping or collection at the Seller's showroom. If the Customer opts for shipping, they enter the delivery address. Shipping costs are calculated and displayed automatically based on the destination and the type of Product.

5.5. Before submitting the Order, the Customer is shown a summary containing the selected Products, the unit and total price including taxes, the shipping costs, any ancillary services and the delivery and billing data.

5.6. Before submitting the Order, the Customer may check the data entered and correct any errors using the functions available in the checkout process.

5.7. The Customer declares that they have reviewed and accept these GTC by selecting the relevant non-pre-selected checkbox. At the same stage, the information on the processing of personal data is made available to them.

5.8. The Order is deemed submitted upon selection of the button bearing the wording "Order and Pay" or an equivalent formula expressly indicating the obligation to pay, by which the Customer confirms their intention to proceed with the Order and the related obligation to pay.

5.9. If the Customer adds the Assembly Service to the cart, they must select a specific non-pre-selected checkbox by which: (i) they request that the service be performed before shipping, and therefore during the withdrawal period; (ii) they acknowledge that, once the service is completed, they will lose the right of withdrawal relating to the service alone, while remaining free to withdraw from the purchase of the bicycle. Without selecting the checkbox, the service cannot be added to the cart. The Customer's choice is stated in the Order Confirmation. The consequences of withdrawal are governed by Article 22.9 below.

5.10. The Customer who uses a promotional code declares that they meet the requirements set out in the relevant terms and conditions. The absence of such requirements results in forfeiture of the discount and, where the discount has already been applied, in the Seller's right to cancel the Order pursuant to Article 9.3 below.

Article 6 – Price, taxes and charges

6.1. For purchases delivered to a Member State of the European Union, the prices shown on the Site include the VAT applicable in the destination State, excluding shipping costs.

6.2. For purchases delivered to Switzerland or another country outside the European Union, the prices shown exclude Italian VAT, as the supply is carried out as an export, excluding shipping costs.

6.3. The net price referred to in Article 6.2 does not include customs duties, import VAT, local taxes, customs clearance costs or other charges applied in the destination country. Such amounts, where applicable, are entirely borne by the recipient and may be requested by the customs authorities or the Carrier before or at the time of delivery.

6.4. Shipping costs, where due, are calculated automatically based on the destination and the type of Product, shown in the Order summary before submission and stated in the Order Confirmation. Free shipping thresholds and any territorial or product-category exclusions are indicated on the Site and applied automatically during the Order process.

6.5. The applicable price is the one shown on the Site at the time the Order is submitted, in accordance with Article 3.6.

6.6. If the price shown is affected by a manifest and recognisable error, the Seller may cancel the Order pursuant to Article 9.3 below, with a full refund of any amounts paid.

Article 7 – Payment methods

7.1. The payment methods available at the time of purchase are those indicated at checkout. The Seller reserves the right to update the available methods in compliance with applicable law.

7.2. The Seller does not apply any additional charge for the use of payment cards or euro bank transfers within the SEPA area.

7.3. In the case of payment by bank transfer, the Order is processed after the funds are credited and the terms referred to in Article 12 run from that moment. Orders not settled within 5 business days of submission are deemed cancelled, subject to notification to the Customer.

7.4. Payment card data is processed directly by the payment service provider and is not stored by the Seller.

7.5. The invoice, if requested, is issued on the basis of the data provided by the Customer. Requests for correction after issuance are handled by means of a credit note, within the limits permitted by tax law.

Article 8 – Financing and deferred payments

8.1. The Site allows access, subject to approval by the lender, to deferred payment and consumer credit solutions offered by third parties and indicated at checkout.

8.2. The credit or deferred payment agreement is separate from the sales contract and is governed by the terms of the lender. The financial terms, including the nominal and annual percentage rates, are set out in the pre-contractual documentation provided by the lender before the conclusion of the credit agreement.

8.3. Approval of the application is at the sole discretion of the lender, which carries out the creditworthiness assessment. The Seller assumes no commitment as to the outcome.

8.4. In the event of withdrawal from or termination of the sales contract, the linked credit agreement is automatically terminated, without any penalty for the Consumer, pursuant to the Consolidated Banking Act.

Article 9 – Order Confirmation and contractual documentation

9.1. The contract is deemed concluded at the time the Seller sends the Order Confirmation. The mere automatic acknowledgement of receipt of the Order does not constitute acceptance.

9.2. The Order Confirmation states the Order number, the Products, the total price, the shipping costs, the delivery term and the Seller's data. The text of the Order Confirmation also contains, reproduced in full, the information on the right of withdrawal and the model withdrawal form referred to in Annex I.

9.3. The Seller may refuse or cancel the Order only in the following cases: (i) subsequent unavailability of the Product; (ii) failure to verify or unsuccessful payment; (iii) negative outcome of anti-fraud checks; (iv) manifest and recognisable error in the price or in the essential characteristics of the Product; (v) failure to meet the requirements of a promotional code used.

9.4. In the cases referred to in Article 9.3, the Seller shall notify the Customer within 5 business days of submission of the Order and shall refund in full, without undue delay and in any event within fourteen days, any amounts paid, using the same payment method used by the Customer.

Section III – Products and ancillary services

Article 10 – Availability, technical data sheets and specification changes

10.1. Product availability is updated in real time and is not guaranteed until the contract is concluded pursuant to Article 9.1.

10.2. The images and technical data sheets published on the Site describe the characteristics of the Product. Non-substantial differences may exist relating to packaging, finishes or aesthetic details, due to updates introduced by the Manufacturer. Relevant discrepancies are governed by Articles 10.3 and 10.4 and, where they arise after delivery, by Article 17.

10.3. The Manufacturer may make changes to the Product aimed at improving quality, safety or performance, or arising from the normal production process, provided that they do not alter the essential characteristics of the Product ordered.

10.4. Changes that alter the essential characteristics of the Product ordered constitute relevant variations. If the Seller becomes aware of them before shipping, it shall notify the Customer, who may cancel the Order without any charge within 5 days of receipt of the notification, with a full refund of the amounts paid.

10.5. Complete bicycles are supplied in the configuration provided by the Manufacturer and indicated in the Product data sheet, with measurements proportionate to the size chosen. Pedals are included only if indicated in the data sheet. Requests to change components entered in the Order notes are not binding, unless expressly confirmed by the Seller; changes are possible only through the upgrade services purchasable on the Site together with the Assembly Service, subject to component availability.

10.6. The provisions of this article do not affect the legal guarantee of conformity referred to in Article 17 or the right of withdrawal referred to in Article 22.

Article 11 – Assembly and adjustment service

11.1. The Assembly Service is an optional service, separate from the sale of the Product, by which the bicycle is prepared, checked, assembled, adjusted and, where electronic components are present, updated by the Seller's technicians before shipping. The flat fee is 59.00 euros. In the case of collection at the Seller's operating premises, the service is provided at no additional cost.

11.2. For packaging and transport safety reasons, even where the Assembly Service is purchased, certain components – including pedals, the front wheel and, in many cases, the seat post and handlebar – are removed, rotated or otherwise repositioned and must be reinstalled or repositioned upon delivery. It is not technically possible to ship a fully assembled bicycle, nor to guarantee that the measurements resulting from a previous bike fitting will be maintained. The service does not include bike fitting or the replacement of original equipment components.

11.3. In the absence of the Assembly Service, the bicycle is delivered in the Manufacturer's packaging. The level of work required varies by brand and model and may include assembling and connecting the brakes and gears, adjusting them and updating the electronic components. The Customer is required not to use the bicycle before assembly, adjustment and safety checks have been completed by a qualified technician.

11.4. The warning in Article 11.3 does not in any way limit the Seller's liability for conformity defects existing at the time of delivery, nor does it in itself result in forfeiture of the warranty in the event of assembly carried out by the Customer or third parties, in accordance with Article 19.5. If the Manufacturer makes its commercial warranty conditional upon such work being carried out by its official network or authorised dealers, the Customer must contact that network in order to preserve it.

11.5. The Product is delivered with the instructions for use and safety information drawn up in Italian and, for deliveries to other Member States, in the official language of the destination State.

11.6. Withdrawal relating to the Assembly Service is governed by Article 22.9.

Section IV – Delivery

Article 12 – Delivery terms

12.1. Without prejudice to Article 12.2, the Seller shall deliver the Products without undue delay and in any event within thirty days of the conclusion of the contract.

12.2. For bicycles ordered with the Assembly Service and for Products expressly identified on the Site as subject to an extended processing term, the delivery term is indicated in the Product data sheet and in the Order summary and is expressly accepted by the Customer at the time the Order is submitted. The ordinary processing and transport times are indicated in the Product data sheet and on the "Shipping" page of the Site.

12.3. In the event of failure to deliver within the term, the Customer may invite the Seller to make the delivery within an additional period appropriate to the circumstances. If the additional period expires without result, the Customer is entitled to terminate the contract and obtain a full refund of the amounts paid, without undue delay and in any event within fourteen days. The right to compensation for damages remains unaffected.

12.4. The Customer may terminate the contract immediately, without granting the additional period, where the Seller has refused to deliver or where the delivery term must be regarded as essential in view of the circumstances or a statement by the Customer accepted by the Seller.

12.5. The terms do not run, or are suspended, for the period of delay attributable to the Customer, including the provision of incorrect or incomplete delivery data.

Article 13 – Shipping, Carrier and transfer of risk

13.1. The Seller ships to countries of the European Union and to Switzerland. For other destinations, the Customer may contact the Seller.

13.2. The Carrier is chosen and appointed by the Seller. The Customer receives the tracking code as soon as it is generated by the Carrier.

13.3. Shipping costs are determined in accordance with Article 6.4.

13.4. The risk of loss or damage to the Products passes to the Customer at the moment when the Customer, or a third party designated by them other than the Carrier, acquires physical possession of the Products, pursuant to Article 63 of the Consumer Code.

13.5. If, after entrusting the Products to the Carrier, the Customer directly requests the Carrier to reschedule delivery, deliver to a different address or otherwise change the delivery arrangements, the Seller is not liable for any resulting delays. The rules on the transfer of risk referred to in Article 13.4 remain unaffected.

Article 14 – Inspection upon delivery and transport damage

14.1. At the time of delivery, the Customer is invited to check the integrity of the packaging. In the presence of damage or signs of tampering, it is recommended to sign the delivery document with a specific reservation and to document the condition of the packaging by means of photographs.

14.2. The reservation facilitates the Seller's action against the Carrier. Failure to make it does not prevent the Customer from exercising the rights arising from the contract and the legal guarantee of conformity.

14.3. The Customer is invited to promptly report any discrepancy or damage found to onlineshop@ciclidrigani.com, attaching photographic documentation. Prompt reporting allows faster handling of the case and does not constitute a condition for proceeding.

14.4. Loss of and damage to the Products occurring before the transfer of risk referred to in Article 13.4 are borne by the Seller.

Article 15 – Failed delivery, storage and return

15.1. The Carrier normally makes two delivery attempts. In the event of a negative outcome, the shipment is held in storage at the Carrier's premises or at a collection point, where it may be collected within the term indicated by the Carrier, normally between ten and fourteen days.

15.2. If the storage term expires without collection having taken place, the shipment is returned to the Seller.

15.3. If the failed delivery is attributable to the Customer, in particular due to the provision of incorrect or incomplete delivery data or failure to collect from storage, the Seller shall refund the price of the Products and may charge the Customer for storage and return costs.

15.4. The Customer may request the Seller to deliver to an address other than the one indicated in the Order. The Seller verifies feasibility with the Carrier and informs the Customer of the cost of the operation, determined in an amount equal to the amount charged by the Carrier. Reassignment is carried out only upon the Customer's acceptance of the cost; in the absence of acceptance, the shipment continues to the original address. No amount is due from the Customer if the Seller has not communicated the cost before proceeding with the request.

Article 16 – Collection at the Seller's operating premises

16.1. The Customer may select collection at the Seller's operating premises at Via Lanzo 207, 10071 Borgaro Torinese (TO), during the hours published on the Site.

16.2. The Seller shall notify the Customer by e-mail that the Order is available for collection.

16.3. Collection is carried out by the Customer or by a person delegated by them in writing, upon presentation of a valid identity document and the Order number.

16.4. The Products remain available for collection for 30 days from the notification of availability. If this term expires without collection having taken place, the Seller shall remind the Customer and, after a further 15 days, terminate the contract, refunding the amounts paid in full.

16.5. The risk of loss or damage passes to the Customer at the time of physical collection of the Products.

16.6. The right of withdrawal referred to in Article 22 also applies to Orders with collection at the Seller's premises, as in any case this is a distance contract.

Section V – Conformity, warranties and safety

Article 17 – Legal guarantee of conformity

17.1. The Seller is liable to the Consumer for any conformity defect existing at the time of delivery that becomes apparent within twenty-four months of that time, pursuant to Articles 128 et seq. of the Consumer Code.

17.2. The Consumer is not subject to any time limit for reporting the defect. The action is time-barred twenty-six months after delivery.

17.3. In the event of a conformity defect, the Consumer is entitled, at their choice, to restoration of conformity by repair or replacement. The Seller may refuse the requested remedy only if it is impossible or if it entails disproportionate costs compared with the other remedy, giving written reasons to the Consumer.

17.4. The remedy is provided at no cost to the Consumer, within a reasonable time from the moment the Seller was informed of the defect and without significant inconvenience to the Consumer.

17.5. The Consumer is entitled to a price reduction or termination of the contract where: (i) the Seller has not carried out the repair or replacement, or has refused them; (ii) a further conformity defect becomes apparent; (iii) the defect is of such gravity as to justify immediate price reduction or termination; (iv) the Seller has declared, or it is evident from the circumstances, that it will not restore conformity within a reasonable time or without significant inconvenience. Termination is excluded if the defect is minor.

17.6. The costs of returning the defective Product are borne by the Seller, which provides the Consumer with the instructions and, where applicable, the shipping label. The Seller arranges collection through the Carrier.

17.7. For the purposes of exercising the warranty, any proof of purchase is sufficient, including the Order confirmation, the receipt or the bank statement. The Consumer is invited, solely for the purpose of facilitating processing, to indicate the Order number and describe the defect found, attaching photographic documentation.

17.8. The Seller may rely on the Manufacturer for the technical assessment of the defect. This circumstance does not affect the Seller's direct liability towards the Consumer or the terms referred to in Article 17.4, and the outcome of the assessment is not binding on the Consumer.

17.9. The Consumer may suspend payment of the price, or of the remaining part, until the Seller fulfils the obligations arising from this article.

Article 18 – Manufacturers' commercial warranties

18.1. Some Products are covered by commercial warranties provided by their respective Manufacturers. Such warranties are additional to and not in substitution of the legal guarantee of conformity referred to in Article 17, which remains fully applicable.

18.2. The duration, scope and conditions of the commercial warranties vary by brand and by component, as indicated in the warranty statement provided by the Manufacturer, including any conditions relating to Product registration or the carrying out of work at the authorised network referred to in Article 11.4.

18.3. The commercial warranty statement is made available to the Consumer, on a durable medium, at the latest at the time of delivery.

Article 19 – Components subject to wear and exclusions

19.1. Components subject to consumption and wear – such as, by way of example and not exhaustively, chains, cassettes, chainrings, pulleys, brake pads and discs, tyres, inner tubes, cables, cable housings, handlebar tapes and grips – are covered by the legal guarantee exclusively in the presence of an original conformity defect existing at the time of delivery.

19.2. Normal deterioration resulting from use does not constitute a lack of conformity, nor does premature wear attributable to the intensity or conditions of use, failure to carry out or incorrect maintenance, failure to clean or lubricate, improper adjustments, the use of incompatible components, impacts or accidents, or failure to comply with the Manufacturer's instructions.

19.3. The warranty does not apply to defects or damage that arise after delivery and are attributable to improper or negligent use, failure to carry out or incorrect maintenance, tampering, impacts, falls, exposure to unsuitable external agents, the use of incompatible components or accessories, or hardware or software alterations to the electrical systems of e-bikes, including the removal or circumvention of the speed limiter (so-called tuning), which is prohibited in all cases.

19.4. The applicability of the exclusions set out in this article requires establishing a causal link between the excluded circumstance and the defect. During the first twelve months from delivery, the burden of proof lies with the Seller.

19.5. Assembly, adjustment or maintenance of the Product carried out by the Customer or by third parties does not in itself entail forfeiture of the warranty, unless it caused the defect as provided in article 19.4.

19.6. In all cases, the mandatory rights granted to the Consumer by the Consumer Code remain unaffected.

Article 20 – Used Bicycles and Products

20.1. Used Products are identified as such on the Site and the relevant product page states their condition, any mileage or hours of use, replaced components and known cosmetic or functional defects and, for bicycles, the frame identification number.

20.2. For Used Products, the parties expressly agree, pursuant to article 133, paragraph 4, of the Consumer Code, that the Seller is liable for conformity defects that become apparent within twelve months of delivery. The Consumer expressly accepts this reduction by selecting the specific non-pre-selected checkbox before submitting the Order.

20.3. The right of withdrawal referred to in article 22 also applies to Used Products.

Section VI – Termination of the contract

Article 21 – Order Cancellation

21.1. The Seller allows the Customer to request modification or cancellation of the Order, at no cost, within 30 minutes of the Order Confirmation, by written notice to onlineshop@ciclidrigani.com. This is a commercial courtesy, granted in view of the speed of order processing.

21.2. The request cannot be accepted once the shipping confirmation with the tracking code has been sent to the Customer.

21.3. If accepted, the Seller refunds all amounts paid in full, without undue delay and in any event within fourteen days, using the same payment method used by the Customer.

21.4. In all cases, the Consumer's right of withdrawal referred to in article 22 remains unaffected, and may be exercised independently of the option governed by this article and in accordance with the terms set out therein.

Article 22 – Right of withdrawal

22.1. The provisions of this article apply exclusively to the Consumer.

22.2. The Consumer has the right to withdraw from the contract without giving any reason and without incurring any costs other than those indicated in article 22.5, within fourteen days.

22.3. The period runs: (i) for sales contracts, from the day on which the Consumer or a third party designated by the Consumer, other than the Carrier, acquires physical possession of the Products; (ii) in the case of an Order for multiple Products delivered separately, from the day on which physical possession of the last Product is acquired; (iii) for service contracts, from the day the contract is concluded.

22.4. To exercise the right of withdrawal, the Consumer must inform the Seller of the decision by any explicit declaration. For this purpose, the Consumer may use the model withdrawal form set out in Annex I, the use of which is not mandatory, the withdrawal function available on the Site, or a notice sent to onlineshop@ciclidrigani.com or to the Seller's PEC address. To meet the deadline, it is sufficient for the notice to be sent before expiry. The Seller confirms receipt of the withdrawal without delay, on a durable medium.

22.5. The Consumer must return the Products without undue delay and in any event within fourteen days of the date on which the Consumer communicated the withdrawal. The direct costs of return are borne by the Consumer.

22.6. The Seller refunds all payments received, including standard delivery costs, without undue delay and in any event within fourteen days of the day on which the Seller was informed of the withdrawal, using the same payment method used by the Consumer, unless the Consumer has expressly agreed otherwise. Additional costs resulting from the choice of a delivery method other than the standard one offered by the Seller are not refunded.

22.7. The Seller may withhold the refund until the Products are received or until the Consumer has provided proof of having sent them back, whichever occurs first.

22.8. Diminution in value. The Consumer is liable only for any diminution in the value of the Products resulting from handling other than that necessary to establish their nature, characteristics and functioning. The Seller may deduct from the refund an amount corresponding to the diminution in value actually established, providing written reasons to the Consumer with an indication of the criteria applied. The Seller does not apply flat-rate penalties and does not refuse the return of Products for the lack of original packaging, tags or labels, nor for the trial assembly of a component.

22.9. Assembly Service. In the event of withdrawal relating to a bicycle purchased together with the Assembly Service, the following rules apply: (i) if the service has not begun, the fee is refunded in full; (ii) if the service has begun but has not been completed, the Consumer pays an amount proportionate to what was provided up to the time of withdrawal, calculated in relation to the total fee; (iii) if the service has been fully performed, the fee is not refunded, provided that the Consumer made the express request and gave the acknowledgement referred to in article 5.9.

22.10. Exercise of the right of withdrawal automatically terminates any ancillary contract, at no cost to the Consumer, and results in the termination of the linked credit agreement as provided in article 8.4.

Article 23 – Exclusions from the right of withdrawal

23.1. Pursuant to article 59 of the Consumer Code, the right of withdrawal is excluded in relation to: (i) sealed Products that are not suitable for return for hygiene or health protection reasons, where they have been opened after delivery; (ii) Products made to measure or clearly personalised; (iii) services fully performed under the conditions set out in article 22.9, letter (iii).

Section VII – Digital content and commercial programmes

Article 24 – Connected e-bikes, software and digital content

24.1. Some Products, in particular e-bikes, cycle computers and electronic devices, incorporate software or are connected to applications provided by the Manufacturer.

24.2. The use of such applications is governed by the Manufacturer's terms of use and privacy policy, which the Customer accepts directly with the Manufacturer. With reference to the data processed through the application, the Manufacturer acts as an independent data controller.
